Terms of Service

By accessing or using Vertex Street ("the App," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the App.

Vertex Street is an AI-powered financial backtesting platform that allows users to explore and analyze investment strategies using historical market data. The App is powered by Claude (Anthropic) and uses third-party financial data providers including Financial Modeling Prep (FMP).

IMPORTANT: Vertex Street is an educational and research tool only. Nothing in the App constitutes financial advice, investment advice, trading advice, or any other type of professional financial guidance.

You acknowledge that:

• Past performance of any strategy does not guarantee future results.
• Backtested results are hypothetical and may not reflect actual trading outcomes.
• You are solely responsible for any investment decisions you make.
• We are not registered investment advisors, brokers, or financial planners.

Vertex Street uses large language models to interpret your natural-language prompts and translate them into strategy logic, backtests, charts, and written explanations. AI systems are probabilistic and can misunderstand intent, make mistakes, or produce output that is incomplete, inconsistent, or factually incorrect.

You acknowledge and accept that:

• The AI may misinterpret your prompt and build a strategy that differs from what you intended, including misreading tickers, date ranges, indicators, entry and exit rules, position sizing, or rebalancing frequency.
• Ambiguous, incomplete, or conflicting prompts may be resolved by the AI using assumptions that are not stated to you or that you do not agree with.
• The same prompt may produce different results at different times, and AI output may change as underlying models are updated.
• AI-generated explanations, summaries, and commentary may contain errors or fabricated details, and should not be relied upon as statements of fact.
• Backtest results are only as correct as the interpretation behind them. You are responsible for reviewing the strategy logic, assumptions, and parameters the App reports before drawing any conclusion or acting on it.

To the maximum extent permitted by law, we are not liable for any loss or damages arising from the AI misinterpreting a prompt, generating incorrect strategy logic, or producing inaccurate output. You use AI-generated results at your own risk and are solely responsible for verifying them before relying on them for any purpose.

You must be at least 18 years old to use Vertex Street. By using the App, you represent that you meet this requirement.

You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

Vertex Street offers paid subscription tiers. By subscribing, you authorize us to charge your payment method on a recurring basis. Subscriptions automatically renew unless cancelled before the renewal date. All fees are non-refundable except as required by law or as described in our refund policy.

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable regulations.
• Attempt to reverse engineer, scrape, or extract data from the App at scale.
• Misrepresent backtested results as actual trading performance to others.
• Share account credentials or resell access to the App.
• Interfere with or disrupt the App's infrastructure or security.

All content, features, and functionality of Vertex Street — including but not limited to the AI system prompt, backtesting engine, and UI — are owned by or licensed to us and protected by applicable intellectual property laws. You retain ownership of any strategies or data you input.

The App relies on third-party services including Anthropic's Claude API and Financial Modeling Prep. Your use of these services is also subject to their respective terms. We are not liable for any downtime, inaccuracies, or changes to these third-party services.

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT FINANCIAL DATA WILL BE ACCURATE OR COMPLETE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING ANY FINANCIAL LOSSES.

We reserve the right to update these Terms at any time. We will notify you of material changes via email or in-app notice. Continued use of the App after changes constitutes your acceptance of the new Terms.

These Terms are governed by the laws of the United States. Any disputes shall be resolved in the applicable courts of competent jurisdiction.
